PLEASE READ THESE TERMS CAREFULLY. THE TERMS PROVIDE AN ARBITRATION CLAUSE WITH TIME LIMITS FOR SUBMISSIONS OF CLAIMS AFFECTING YOUR RIGHTS. YOU MUST BE AT LEAST 13 YEARS OF AGE TO UTILIZE THE APP. USERS UNDER THE AGE OF I8 REQUIRE A PARENT’S OR LEGAL GUARDIAN’S AUTHORIZATION TO UTILIZE THE SERVICES. THE PARENT OR GUARDIAN MUST READ AND ACKNOWLEDGE PROVIDED TERMS. YOU ACKNOWLEDGE, AGREE, AND REPRESENT THAT YOU ARE AN AGE 13 AND ABOVE USER, A PARENT OR LEGAL GUARDIAN, OR YOU ARE AT LEAST AGE 18, AND YOU ARE IN AGREEMENT WITH THESE TERMS. Broad Definitions

The herein and hereto “Terms” (Terms of Use) constitute a legal tender binding Apax Researchers (“we,” “us,” and Apax Researchers hereinafter) and you. Direct any questions, concerns, or comments about these Terms to our email: support@apaxresearchers.com.

Herein, the “User” refers to any Services’ registrants and utilizers, including but not limited to individuals accessing the Services as students, tutors, or any other. The “Tutor” is the party providing courses electronically, answers electronically, instruction electronically, and learning and tutoring electronic services via Apax Researchers' Website, products, and services. In these Terms, "Content" refers to all text, data, graphics, articles, images, photos, course materials, illustrations, flashcards, class notes, Tutor Answers, and any materials and information displayed on the Services. "Submissions" are any user-generated Content, including your posts, shares, uploads, storage, study notes, question responses, questions, and any other material you provide through the Services, whether as a service user or Tutor. Finally, "Charges" are the applicable fees and any additional costs, including taxes, the User may incur with Apax Researchers while purchasing products and using the Services.

Changes

Users should check the Terms periodically for changes and updates. Apax Researchers can implement Terms’ alterations at any time without limitation, including pricing and payment alterations. We will post the updated terms upon any modifications of these Terms and may also send a related change notice via the email addresses of registered users. It is deemed that you acknowledge and are, thus, bound by the new Terms upon your continuance of the Services' utilization after postings of the concerned changes. 

Privacy Policy

The Apax Researchers Privacy Policy is the official governance framework for utilizing and collecting our Services.

Account Registration and Security

You must register for an account and establish a username and password to utilize the Services. Users can also register for the Services through Google, Facebook, LinkedIn, and other social networks of a third-party nature. Your provision of such account information and/or credentials to us will be, thus, necessary. Access through these modalities of a third-party nature provides your implicit consent for the said information transmission to our systems. In addition, Apax Researchers will subject a user who registers as a Tutor to our latest vetting and verification process. These provisions only authorize your creation of a single Apax Researchers account that is, therefore, not transferrable and devoid of any prior consent from us in formal writing.

Terms Governing the Utilization of Apax Researchers Services

We only authorize your personal consumption of the Content and Services while abiding by all applicable legal and regulatory frameworks and provisions. Except for your Submissions, these provisions do not provide for and disallow reselling and any other commercial application of any Apax Researchers content or Services. A personal license to access and utilize the Content applies to any content you access through your purchase of the Services. 

Student/Tutor Interaction

The User's primary engagement with our platform is submitting questions and specifying the parameters to refine their query. They can make price offerings expressing the lowest and highest prices they associate with the value of the answer to the submitted query. They, then, have two options in selecting a Tutor to work with. They can choose Apax Researchers' auto-match function to match the question posed to a Tutor or select a Tutor to work with Apax Researchers' recommendations of Tutors to respond to the question. Users can also request specific Tutors to answer questions we will consider when making recommendations or an auto-match.

Apax Researchers recommends tutors based on price considerations and availability to meet the student's requested deadlines or due dates, which start upon matching a Tutor with the User. We charge the User a down payment upon their acceptance of a Tutor for a specific question, except in cases where the User has a credit balance account with Apax Researchers to cover the price settled for answering the question. 

Before the deadline (due date), the User and accepted Tutor can utilize the Services platform’s chat functionality to implement the required or necessary communications. At Apax Researchers' discretion, included in the Services are tools to monitor the Tutor's Submissions' originality. Neither the User nor Apax Researchers is obligated to use the tools. We do not guarantee the tools and the accuracy of their results. The governing authorities, such as laws and regulations, and the practices, standards, and procedures applicable to a User's particular question may differ with the User's location. The only way for Apax Researchers to discover the information about the said practices, standards, and procedures applicable to a User's particular question and specifying parameters is typically through evaluations and/or visits in person. For instance, certain types and categories of Tutors may be educated, licensed, experienced, or employed only in their particular practice jurisdictions. 

Payments

A down-payment fee for processing and answering the question is due upon its User's Submission. Such payment will be the equivalent of the hereinafter question price or the total fee of the User's accepted Tutor plus a fee. Apax Researchers implements a default service fee rate of +25% of the question price for questions and may charge a special 25% service fee rate for new users for a maximum of two (2) complete question purchases. Complete question purchases occur once we release the payment to the Tutor. The User has no more than three (3) after the answer deadline they specify to implement the termination and confirmation of the question session. On failure to do so, Apax Researchers deems the Tutor's answer to the question the required User actions completed and the question successfully processed by the lapse of the three (3) days. We then release the Tutor payment after deducting a commission fee based on Apax Researchers' tutor payment terms. The User's question Submission and Tutor selection and acceptance, or their purchase of a document or a ready-made product or solution from us, is an express agreement to Apax Researchers' permission to bill the applicable Charges to the User's provided PayPal account or credit card under the provisions of the billing terms that are applicable at the time. Apax Researchers maintains its inherent right to terminate or render inapplicable these Terms and the User's Service access if payment cannot be charged to the User's credit card account or is not received for any reason. Without exceptions other than those expressly set forth herein, all charges are non-refundable, all purchases are non-cancellable, and Apax Researchers will dispute all chargebacks for the provided services. Additionally, Apax Researchers reserves the right to ban or pursue legal action against a User who wrongfully files a chargeback.

You agree and acknowledge that Apax Researchers will automatically charge your PayPal account or credit card on record upon your election to purchase a Subscription to any of our services according to the listed prices or your acceptance of a Tutor to answer a question, as applicable.

Apax Researchers' electronic communications with a User, which the User receives as part of their purchases, are part of our relationship with the User. Electronic communication can include notices regarding transactional data and information and correspondence related to or concerning our offerings, Services, and products. Utilizing our services implies your consent to receive electronic communication from Apax Researchers. You, therefore, consent to the assertion and agree that any electronic communications’ information we convey or otherwise transmit sufficiently meets all of the criteria requisite legally or otherwise, including the criterion requiring explicitly written communications. 

Policies and Procedures Applicable to Complaints by Users and Governing Suspensions

Upon a question's due date, the User is authorized to convey formal complaints regarding a Tutor, answer, or both. The User will submit the complaint after filing a complaint, upon which correspondence between the Tutor and User on the question through the Services will not be permitted. Apax Researchers has the overriding right to determine the actions to take related to the complaint, including whether to warn the Tutor, suspend the Tutor, expel the Tutor, refund the User, or refrain from any of the stated actions. A Tutor's suspension means they cannot request to work on new questions unless and until Apax Researchers exercises its sole discretion to reverse the suspension. However, the Tutor may still complete any prior or ongoing work if Apax Researchers so determines. A complaint resulting in a Tutor's ban means they will no longer work on any questions, including those accepted before the ban. Finally, Apax Researchers provides the User with a refund in the form of a credit that can apply to the User's future purchases. 

Apax Researchers reserves the right to hold any moneys we receive as part of the transactions upon the User’s Terms' violations and upon Apax Researchers' belief of suspicious activity or a high level of risk associated with all transactions related to a User's account. Apax Researchers may also hold funds temporarily in a User's account to mitigate any potential liability by the coverage of such held amount in certain circumstances when the User is involved in a dispute. Apax Researchers will remove the funds from your account if you lose the dispute or lift the temporary hold upon the dispute's resolution in your favor. Your  Submissions

You agreeing to these terms is an implicit acknowledgment of your express and individual responsibility for your entire Services platform Submissions. You, thus, warrant and represent that you will abide by Apax Researchers' Honor Code and that:

  1. You are all your Submission’s original writer and creator or that you have all licenses, rights, releases, and consents required in granting Apax Researchers the license in such Submission as these provisions contemplate;
  2. Your Submissions and Apax Researchers' use of the Submissions or any of the Submissions' portions will misappropriate, violate, or otherwise violate any of the applicable intellectual property rights and the related laws and regulations in any form or any type;
  3. Your submissions will not defame any business, person, property, or location.

You also note that your submissions are not confidential or private and may be collected, read, and used by other parties. Therefore, do not include contact or identity information in your Services Submissions. You have sole and complete responsibility for your Submissions and their accuracy in any manner you make your contributions. You remove from Apax Researchers any applicable obligations for obtaining any rights and shall not need to obtain any rights, permissions, consents, licenses, or consents, to reimburse any concerned party for any of your Submissions' utilization across all media platforms; or suffer liability to you or any concerned party as a consequence of any use of your Submissions’ exploitations as these provisions anticipate and authorize;

By entering your Submissions on the Services platform, you confer to Apax Researchers a global, non-exclusive, perpetual (or for the term of the protection), all and transferrable rights and authority to utilize and exploit your Submissions. The activities you authorize Apax Researchers to conduct with your submissions include reproducing, distributing, modifying, displaying, translating, storing, editing, and performing the Submissions across all media types and platforms currently available in the market or will be developed in the future. Accordingly, you agree that the licensing provisions encompassed by these terms Apax Researchers' promoting and operating rights, including the exercise of the rights for Service improvement and Service provision to our products' and solutions' other Users. 

 Consequently, your Submissions to the Services give each other User a global, royalty-free, non-exclusionary licensing right to your work as submitted via the Service platform and utilize or otherwise exploit your Submissions only as enabled by the Services in activities including reproducing, distributing, modifying, displaying, translating, storing, editing, and performing them. Apax Researchers makes no claims over your ownership rights in your Submissions, and these Terms make no provision imposing restrictions to any of your rights to utilize your Submissions. You hereby agree that your use of Apax Researchers Services is sufficient compensation for the Submission and grant of rights in these Terms. Therefore, except as the Payments clause discussed above provides, Apax Researchers' or other Users' additional uses of your Submissions are made with no compensation paid to you. You waive all rights of an intellectual property nature in association with your Submissions. You acknowledge your understanding that deleting your Apax Researchers account may not eliminate the Content associated with the account from Apax Researchers' records and that, therefore, Apax Researchers retains a license to utilize your Submissions as described herein. Other parties may continue viewing your Submissions elsewhere, including as part of our Services and in instances where other Users may have downloaded and stored your Submissions.

Protection of Content

The instruments related to the relevant law and governing any Content you access, including trademark rules, copyright notices, restrictions, and information you promise to abide by, protect the Content. You promise that you will not, under any situation, circumstance, or scenario, engage in using, reproducing, translating, modifying, publishing, transmitting, broadcasting, performing, distributing, uploading, licensing, displaying, selling, or otherwise exploiting for any reason Content over which you lack ownership:

  1. Devoid of the Content’s owner’s prior consent
  2. In any manner violating anyone else’s rights, including Apax Researchers' rights.

Apax Researchers retains all rights, ownership, interest, and title related to all its inventions, patents, proprietary rights, intellectual property rights, copyrights, trademarks, know-how, trade secrets, and domain names related to all and any of its Content and Services. Accordingly, you shall refrain from publishing, modifying, transmitting, reproducing, or participating in the sale or transfer of any of the assets covered by stated rights, except as these Terms provide. 

Additional Tutor Terms

Tutors signing up through the Services agree to the below provisions in addition to all the other obligations governing the Users of Apax Researchers Services:

 In your possession are the requisite expertise, credentials, and qualifications to answer questions, offer materials and instructions, and that your posted pieces of information are truthful, reflect the highest level of accuracy and completeness, and are otherwise not falsely represented

 You shall refrain from the commercial exploitation of the Services for any activity not associated with instructional Service provision to Apax Researchers' Users;

 You shall refrain from all activities imposing on Apax Researchers the obligation to pay any royalties to or obtain licenses from any third party, for example, and not limited to, royalty payments for the public execution or presentation of any sound recordings or works of music;

 You shall implement timely responses and feedback to all solicitations of your assistance by Users timely to assure high-quality service provision;

 You shall obtain a legal guardian’s or parental permission as and when needed if you meet the Tutor Qualifications but are below age 18 before registering with the Services;

 You shall not apply, register to be, or otherwise solicit to perform Tutor Services if in a legal jurisdiction with explicit requirements for credentialing, licensing, or other forms of the third party or governmental authorization, consent, licensing, or permission; before instructing or offering instruction, until such consent or authorization has been obtained;

 Apax Researchers serves solely as an intermediary between the student User and you as a Tutor, and you at this moment agree that you are not an agent or employee of Apax Researchers;

 You agree that you can only make a withdrawal if you have a minimum balance of $50 in your account.

Verification Policies and Procedures Applicable to the Tutors

Apax Researchers may implement specific Tutor verifying procedures for Tutor registrants or applicants. When we refer to the Tutor as having been "vetted" or "verified" or use any language of a similar kind in any of our platforms, we are merely indicating the Tutor's completion of the relevant verification processes and nothing else. Such descriptions do not constitute Apax Researchers' certification, endorsement, or guarantee of any Tutor, including the Tutor's trustworthiness, intelligence, accuracy, suitability, smartness, or identity. Instead, providing such descriptions is to offer helpful User evaluative information they can use when making independent decisions regarding the suitability of other parties they may interact with or contact via the Services.

Terms and Conditions Providing for the Users’ Conduct 

You shall refrain from utilizing any automatic device, algorithm, program, methodology, or any equivalent or similar manual process, including "page-scrape," "deep-link," "spider," or "robot" in acquiring, accessing, monitoring, or copying any portion of the Services platform or any associated Content. You shall refrain from all conduct that results in your potential circumvention or reproduction of the Site's or any Content's navigational structure. You shall not use any of the above methodologies, tools, and techniques in ways not purposely availed via the Services’ platform. Apax Researchers maintains all of the legal authorities and rights applicable to preventing all such User activity. You shall refrain from scanning or probing the Services or any of their connected networks. Neither shall you breach the authentication or safety and security measures on any of Apax Researchers' technological infrastructure. You may not seek to trace or trace any information on any prospective customer of the Services, any other Apax Researchers User, and refrain from exploiting any service, information, or the Services offered or made available through or by the Services or as provisioned by the Services, with purposes motivated to reveal any information or personal identification data you do not possess. You shall refrain from manipulating the identifiers, including forging headers and disguising a message's or transmittal's origin through or on the Services. You may not impersonate any other entity or individual or represent or pretend to be someone else.

You understand and acknowledge your sole responsibility for complying with all and any rules, laws, tax obligations, and regulations that may apply to your utilization and exploitation of the Services. In this regard, you agree that you shall not:

 apply to register for another individual other than you a  Apax Researchers account or register for more than one Apax Researchers account;

 contact users beyond communications related to submitted questions;

 solicit or otherwise recruit any other User to join Apax Researchers' competitors without our express and written authority Apax Researchers' prior written approval or incorporate listings or links to said to said competitors in your use of our products, services, and applications; 

 impersonate an entity or person, or intentionally misrepresent or mislead your link to any person or entity

 utilize the Services to attempt to circumvent your payment obligations to Apax Researchers' Services in any way or for any reason, including providing your services independently

 exploit automated transcripts to interact with the Services in any way, including to collect information;

 submit any misleading or false information or Submissions, or bid or submit any question you have no intention of honoring

 contravene any national, provincial, or territorial laws, regulations, and other provisions of the governing legal framework;

 engage in utilizing the Content or Services for commercial purposes other than those provided and envisaged herein; 

 engage in storing, copying, or otherwise accessing any Service information in ways not expressly permitted in these provisions;

 infringe any entity's or person's rights, including but not limited to their publicity, intellectual property rights of any type or nature;

 engage in damaging or interfering with the Services, including but not limited to using viruses, Trojan horses, cancelbots, harmful codes, denial-of-service-attacks, flood pings, I.P. or packet spoofing, electronic mail or forged routing, or similarly designed and executed technology or methods;

 engage the services in distributing, transmitting, submitting, or posting any information regarding any entity or person without consent, including personal contact information, photographs, or any financial or transactional data and information;

 engage in the Services’ exploitation connection with distributing spam, including but not limited to sending emails to Apax Researchers' investors, directors, and officers;

 harass or “stalk” any other Service users or our officers, investors, or directors, or store or collect any data information that can identify persons, including any other platform User, except in conducting the authorized activities of instructional services consistent with these binding provisions;

 engage in submitting or otherwise transmitting Content:

  1. Demonstrates plagiarism or violates another party’s intellectual property rights of any kind;
  2. Encourages any conduct that results in violating or violates any applicable regulation or law, thereby generating civil liability;
  3. False, fraudulent, deceptive, or misleading;
  4. Contains obscenity, vulgarity, defamation, pornography, or is otherwise offensive;
  5. Is promoting bigotry or hatred and discrimination of any kind;
  6. Threatens to encourage or is promotional of violence and other harmful actions to other parties;
  7. Encourages any form of illegality;

 offer to prepare, caused to be prepared, prepare, distribute or sell a dissertation, thesis, term paper, essay, or any written material for another individual, where you should know or know that the intention is for any other person to submit for academic credit at any private or public college, university, school, or other higher learning institution;

 solicit another user's help in preparing a term paper, dissertation, thesis, or any other written material to submit for academic credit at any other private or public college, university, school, or other higher learning institution;

 violate any policies of any private or public college, university, school, or other higher learning institution;

 use any payment method or credit card you are not authorized to utilize or participate in payment fraud of any type;

 systematically retrieve our Services data to compile or create, indirectly or directly, in multiple or other download quantities and volumes, a compilation, directory, or any other similar collection, whether through automated or manual methods use;

 without Pedhih’s expressly written authorization, replicate or imitate for your use any of our intellectual property or any of their constituent elements thereof;

 engage in tampering with, accessing, or utilizing non-public Service components, and Apax Researchers', or Apax Researchers' partners' and providers' computers and other technical infrastructure;

 attempt to test, scan, or probe Apax Researchers' system’s or network’s vulnerability or engage in an action that under these provisions can be deemed to violate any of our implemented authenticity and security controls;

 bypass, deactivate, delete, scramble, or otherwise impair any of Apax Researchers' or Apax Researchers' providers' and users' or third parties' technological measures implemented for our system’s safety;

 engage in attempts for decompiling, deciphering, reverse engineering, or disassembling any of the Services provisioned applications and software; or

 facilitate any other individual or entity in conducting such violations.

Apax Researchers can and is, at this moment, legally authorized to examine, pursue investigations, and prosecute any of the above prohibitions.

These provisions support Apax Researchers' preserving, accessing, and disclosing privileges applicable to any of your data as may be legally necessary to:

  1. Achieve compliance with warrants or subpoenas and other legal processes, respond to claims against Apax Researchers', or assert claims against a user for defamation, slander, harassment, or similar actions
  2. To enforce our agreements, such as these Terms, with Users;
  3. To prevent fraud, assess risk, conduct investigations, offer customer support, and implement debugging and product development.
  4. To protect Apax Researchers' and its Users’ or the public’s property, rights, or safety.

This is your acknowledgment that you free Apax Researchers from any obligates related to reviewing, policing, or monitoring your access to utilize the Services or to exploit them by editing or reviewing any Submissions, while also acknowledging that we equally retain the legal authority and right to undertake these actions:

  • to operate and improve the Services, including but not limited to preventing fraud, assessing risk, conducting investigations, and providing customer support
  • to enforce the User’s compliance with these provisions
  • to enforce legal compliance or compliance to a court’s, an administrative agency’s, or other governmental body’s requirements and orders, excluding any publically funded university or school
  • to respond to objectionable Content based on Apax Researchers' determination.

Apax Researchers can at any time and hereby affirms the legal authority to at any time perform the following:

  • Access disabling or removal of Content that we deem to violate any of these governing provisions or is harmful to our Services based on our independent and discretionary determinations;
  • Suspensions or terminations of Service access by any user to the Services based on violations of these governing provisions or for no reason at any time.

Honor Code and Academic Integrity

Apax Researchers does not condone academic cheating or plagiarism on its Services, nor do we promote our Services for such purposes. Using our Services, you promise to comply with our Honor Code. Any Service users breaking our Honor Code may face potential fees, be banned, or face legal action.

Third-Party Links

Our Services may allow and/or facilitate your access and exploitation of the services offered by a third party by containing a link to the collectively termed "Other Services" under separate terms and conditions. Such Other Services' legal provisions govern the Other Services and your use. Be advised that Apax Researchers does not assume responsibility for, does not endorse, does not represent such Other Services, how they handle your data, or their Content. Accordingly, you shall not hold us liable for damage and loss based on any allegations concerning your interaction with the Other Services or your reliance on such Other Services' policies and privacy practices. 

Disclaimer of Warranty

Apax Researchers does not warrant or make any representations regarding any information accessed through or on the Services platform. We have no liability nor assume responsibility for the Content and material accessed through or housed on our platforms complying with copyright requirements, being accurate, decent, and legal. We do not offer warranties or representations concerning the offerings made or purchased through said platforms. Any Services or Content provided or purchased, whether or not in furtherance of such recommendations and suggestions, without any warranty from Apax Researchers or other authorized and concerned parties.

ALL OF THE OFFERINGS APAX RESEARCHERS PROVIDES ARE AS IN THEIR ORIGINAL BASIS WITHOUT ANY KIND OF WARRANTIES. WE OFFER NO WARRANTY OF OUR OFFERINGS' FITNESS FOR ANY SPECIFIC PURPOSE, SELLABILITY, ACCURACY, CONTINUITY, LEGAL COMPLIANCE, OR ANY RELATED WARRANTY OF ANY TYPE. THIS DISCLAIMER MAY NOT APPLY TO YOU IF YOU ENGAGE WITH OUR SERVICES IN A LEGAL JURISDICTION THAT PROHIBITS LIMITATIONS TO THE DURATION OF AN IMPLIED WARRANTY.

Limitation of Liability

APAX RESEARCHERS HAS NO LIABILITY FOR ANY TORT CLAIMS OF ANY KIND AND UNDER ANY CIRCUMSTANCES PROVIDED BY THE LAW AND ANY OF THE RELEVANT AND APPLICABLE LEGAL THEORIES. IN ADDITION TO ALL OTHER DAMAGES, WE ALSO DO NOT ASSUME LIABILITY FOR DAMAGES EXCEEDING $100 OR THE AMOUNTS YOU REMITTED AS A USER IN USING OUR SERVICES IN THE 12 MONTHS PRECEDING THE CONCERNED CLAIM OR FOR ANY CLAIM RESULTING FROM EVENTS BEYOND OUR REASONABLE CONTROL. THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU AS SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES.

Indemnification Provisions

You are in agreement to your express and implied indemnification of Apax Researchers and any of its concerned agents and affiliates. You hold us and any of our partners harmless in and immune to all claims by you or any other concerned third party for claims related to:

(a) You accessing, using, and exploiting our platforms and the offerings thereto, including the Submissions you make to said platforms and any actions by third parties thereof;

(b) Your contravention of any of the binding provisions herein.

In the event of a claim, Apax Researchers will make all reasonable efforts to notify an account holder of the "Claim" using the contact information of the User linked to said account. However, in the unlikely event that we fail to implement the notification, the failure does not eliminate or in any way minimize the indemnification obligations above that you now agree to.
